1. Acceptance of Terms

By accessing or using the Everform Life website (everformlife.com), membership application portal (join.everformlife.com), or purchasing any products (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services or purchase any products. These Terms constitute a legally binding agreement between you and Everform Life ("we," "us," "our," or "Everform Life").

2. Membership and Access

Everform Life operates as a members-only supplier. Access to our product catalog and purchasing capabilities is restricted to approved members.

2.1 Application Process. To become a member, you must complete our membership application, which includes identity verification and qualification screening. By submitting an application, you represent that all information provided is accurate, complete, and not misleading. Acceptance of these Terms, including the research use provisions in Section 3, is required at checkout and constitutes your agreement to all research use obligations contained herein.

2.2 Approval and Denial. Everform Life reserves the right to approve or deny any membership application at its sole discretion, without obligation to provide a reason for denial.

2.3 Revocation. Everform Life may suspend or revoke membership at any time, for any reason, including but not limited to: violation of these Terms, suspected misuse of products, providing false or misleading information, or any conduct we determine is inconsistent with the intended use of our products.

2.4 Non-Transferable. Membership is personal to the approved individual and may not be transferred, shared, or assigned to any third party. Account credentials must not be shared.

3. Research Use Only — Assumption of Risk

All products sold by Everform Life are strictly for in-vitro research, laboratory use, and educational purposes only. Products are not intended for human or animal consumption, diagnostic use, therapeutic use, or any clinical application.

By purchasing from Everform Life, you acknowledge, represent, and warrant that:

You are at least 21 years of age.
You are purchasing products solely for legitimate, lawful research purposes.
Products will not be used for human or animal consumption under any circumstances.
Products will not be used for diagnostic, therapeutic, or medicinal purposes.
Products will not be resold, redistributed, transferred, or made available to any third party.
You have the knowledge, training, qualifications, and facilities necessary to handle research compounds safely and in accordance with applicable regulations.
You will comply with all applicable federal, state, and local laws and regulations regarding the possession, handling, storage, and use of research compounds.
You assume all risk associated with the handling, storage, transportation, and use of any products purchased from Everform Life, and accept full responsibility for any consequences arising from your use of the products.

4. No Medical Claims

Everform Life makes no claims regarding the safety, efficacy, suitability, or fitness of any product for any purpose. Products are not intended to diagnose, treat, cure, or prevent any disease, medical condition, or health issue. Nothing on this website or in any communication from Everform Life should be construed as medical advice, health guidance, or a recommendation for any particular use.

5. Product Information and Quality

Everform Life utilizes independent, ISO 17025 accredited laboratories to test products after receipt. Products accompanied by a Certificate of Analysis have been tested by an accredited third-party laboratory for the parameters specified on that COA.

ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." EVERFORM LIFE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Without limiting the foregoing:

Everform Life does not guarantee that products are suitable for any specific research application.
Researchers are solely responsible for independently verifying product identity, purity, and suitability for their intended use prior to any application.
COA results reflect testing of specific batches at the time of testing and do not constitute a warranty of consistency across batches, shelf life, or fitness for any purpose.
Product descriptions and specifications are provided for informational purposes only and may contain inaccuracies or typographical errors.

6. Pricing and Payment

All prices are listed in US Dollars (USD). Everform Life reserves the right to change prices at any time without prior notice.

6.1 Invoice-Based Payment. Orders placed through our store are processed via invoice. Upon checkout, you will receive a payment invoice via email and/or SMS. Payment is due upon receipt. Orders are not confirmed until payment is received.

6.2 Returning Members. Members with a payment method on file may be charged automatically for subsequent orders. If an automatic charge fails, an invoice will be sent as a fallback.

6.3 Order Cancellation. We reserve the right to refuse, cancel, or limit any order for any reason, including but not limited to: product availability, pricing errors, suspected fraud, or concerns about order legitimacy.

7. Shipping and Delivery

7.1 Service Area. Everform Life ships to addresses within the United States only.

7.2 Shipping Estimates. Shipping times are estimates and are not guaranteed. Everform Life is not responsible for delays caused by carriers, weather, or other circumstances beyond our control.

7.3 Risk of Loss. Risk of loss and title for products pass to you upon delivery to the shipping carrier. Everform Life is not liable for lost, stolen, or damaged packages after carrier handoff, except as described in Section 8.

7.4 Address Accuracy. You are responsible for providing accurate shipping information. Everform Life is not responsible for orders shipped to incorrect addresses provided by the customer.

8. Returns and Refunds

All sales are final. We do not accept returns or issue refunds except in the following cases:

Damaged Products: must be reported within 48 hours of delivery with photographic evidence.
Incorrect Items: must be reported within 48 hours of delivery with photographic evidence.
Purity Discrepancies: for products sold with an accompanying COA, if independent laboratory testing conducted at the customer's expense demonstrates that the product fails to meet stated purity specifications, Everform Life will review the claim and, at its sole discretion, issue a refund or replacement.

Refunds, if approved, will be issued to the original payment method within 10 business days. Shipping costs are non-refundable.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EVERFORM LIFE, ITS OWNERS, EMPLOYEES, AGENTS, AND AFFILIATES (COLLECTIVELY, THE "EVERFORM PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

The use, misuse, or inability to use our products or Services.
Any adverse outcomes, injuries, losses, or damages resulting from the handling, storage, transportation, or use of products purchased from Everform Life.
Any interruption, suspension, or termination of the Services.
Any other matter relating to our products or Services.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE EVERFORM PARTIES FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Everform Parties from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use, misuse, handling, storage, transportation, or disposal of any products purchased from Everform Life.
Your violation of these Terms or any applicable law or regulation.
Any misrepresentation made in connection with your membership application or use of the Services.
Any claim by a third party related to your use of our products.

This indemnification obligation survives termination of your membership.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution. Before initiating any formal dispute, you agree to contact us at support@everformlife.com and allow at least thirty (30) days for informal resolution.

11.2 Binding Arbitration. If a dispute cannot be resolved informally, you and Everform Life agree that any dispute arising from these Terms, your membership, or your use of our products shall be resolved exclusively through final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Orange County, California. The arbitrator's decision shall be final and binding.

11.3 Class Action Waiver. YOU AND EVERFORM LIFE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11.4 Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement or misappropriation of intellectual property rights.

12. Force Majeure

Everform Life shall not be liable for any failure or delay in performing its obligations where such failure results from causes beyond its reasonable control, including natural disasters, government actions, supply chain disruptions, carrier failures, acts of war, or any other events beyond our reasonable control.

13. Intellectual Property

All content on this website, including text, graphics, logos, images, and product descriptions, is the property of Everform Life and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or otherwise use any content without prior written permission from Everform Life.

14. Privacy

Your use of our Services is governed by our Privacy Policy, available at everformlife.com/policies/privacy-policy. By using our Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

15. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@everformlife.com of any unauthorized use or security breach.

16. Termination

16.1 By Everform Life. We may terminate or suspend your membership at any time, without prior notice, for any reason including breach of these Terms.

16.2 By You. You may request termination at any time by contacting support@everformlife.com. Termination does not entitle you to any refund for prior purchases.

16.3 Effect of Termination. Upon termination, your right to access the Services ceases immediately. Sections 3, 9, 10, 11, and any provisions that by their nature should survive termination shall survive.

17. Governing Law

These Terms shall be governed by the laws of the State of California. Subject to Section 11, any legal action shall be brought exclusively in the state or federal courts located in Orange County, California.

18. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Everform Life with respect to your use of the Services and supersede all prior communications, proposals, and agreements.

20. No Waiver

Failure by Everform Life to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

21. Changes to Terms

Everform Life reserves the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.
